1. Property Readiness

  • The Client is expected to have the property “camera ready” prior to the scheduled appointment. This includes all cleaning, decluttering, and furniture staging.

  • The Client or their representatives should review Cove Media’s Getting Ready Guide prior to the appointment.

  • Determination of readiness is at Cove Media’s sole discretion. If the property is partially unready, the property will be photographed or filmed “As Is.” If the property is completely unready, the appointment may be canceled, and the Client will be charged a cancellation fee as set forth in Section 2.

  • Clients may provide input on preferred angles or staging notes. Such input does not guarantee specific results. In the absence of input, Cove Media’s photographers or videographers (collectively, the Service Provider) will exercise professional judgment in capturing the property.

  • Client acknowledges that property condition may affect final media quality and results, and waives any claims related to property condition.

2. Rescheduling and Cancellation

  • Appointments canceled or rescheduled within 24 hours of the scheduled start time are subject to a $50 cancellation fee.

  • If the Service Provider arrives and cannot complete the appointment due to property unavailability or unreadiness, a $100 cancellation fee will apply.

  • These fees represent reasonable liquidated damages and are not penalties.

  • If the photographer is unable to access the property upon arrival, the appointment may be deemed a no-show fifteen (15) minutes after the shoot start time.

3. Payment Terms

  • Clients will be invoiced after delivery of all media. Payment is due upon receipt of the invoice unless the Client has selected the “Pay at Close” option at checkout.

  • For Pay at Close orders, the invoice will be due when requested by Cove Media’s payment partner, Titus. Under this option, Titus will pay Cove Media immediately upon order completion. The Client understands that they will owe repayment to Titus in accordance with the repayment terms agreed between the Client and Titus — typically from the proceeds of the property sale upon closing or as otherwise specified in the Client’s loan agreement with Titus (generally within six months).

  • Late payments: A 5% late fee will apply to balances unpaid after 15 days from the invoice date or the Titus payment request date, as applicable.

  • Balances unpaid after 45 days may result in a suspension of services, including freezing access to delivered media and pausing new orders.

  • Balances unpaid after 90 days may be referred to collections.

  • Payment amounts may be adjusted at Cove Media’s discretion based on final property square footage captured.

  • All payments are exclusive of applicable taxes, which are the responsibility of the Client.

  • By placing an order, the Client agrees to receive transaction and marketing emails from Cove Media. The Client may opt out of marketing emails at any time.

4. Referrals

  • Cove Media’s referral program provides a $50 account credit to both the referring and referred client, provided the referrer has completed a prior order.

  • A referral is valid for licensed real estate professionals, brokers, listing agents, or lessors.

5. Service Area and Travel Fees

  • Cove Media services a 50-mile driving radius from Silver Spring, MD.

  • Travel fees are calculated based on driving distance:

    • 25 miles or less: $0.00 per mile

    • Over 25 miles: $0.50 per mile

  • Travel fees are in addition to standard service fees.

  • Driving distance calculations are performed automatically using Spiro Media, the management platform used by Cove Media.

6. Hosting

  • Cove Media provides media hosting for one (1) year from the appointment date, except for Matterport 3D Tours.

  • Matterport media will be stored until sold, for a maximum of three (3) months. After expiration, the Client is responsible for permanent storage or may purchase a three (3) month extension.

  • Cove Media may archive 3D tours after expiration, which can be reactivated for a fee.

  • Cove Media makes no guarantees regarding uptime, accessibility, or loss of hosted media, and is not liable for loss due to technical failures or unauthorized access.

7. Delivery

  • Next Business Day (before 5 p.m.): HDR Photography, Matterport 3D Tour, Twilight Edits, Floor Plans

  • Second Business Day (before 5 p.m.): Virtual Staging (if selected), Social Media Video Walkthrough, additional client-requested revisions

  • Same-Day Delivery Option: Clients who select the Same-Day Delivery option will receive applicable media approximately six (6) hours after the shoot, excluding video media, which will be delivered the next business day.

  • Delivery times are estimates and may be adjusted due to operational constraints or unforeseen circumstances.

8. Rights and Usage

8.1 Grant of Rights

  • Cove Media retains all ownership rights in the Work, granting the client a license to use the Work as described in 8.2.

8.2 Usage Rights

  • Client may use the Work for marketing the Property, their real estate business, or related purposes (Client License).

  • The Client License is non-exclusive, non-transferable, and applies only for the term of active property listings.

  • Authorization to third-party websites (e.g., MLS) automatically expires when the listing ends.

8.3 Clearances and Releases

  • Client warrants that they have obtained all necessary permissions, waivers, and releases from the property owner, occupants, and any intellectual property rights holders.

  • Client further warrants that property occupants have waived any privacy expectations regarding the media.

  • Client agrees to indemnify Cove Media for any claims arising from use of the Work without proper clearances.

9. Indemnification

  • Client agrees to hold harmless and indemnify Cove Media, its officers, employees, contractors, and agents from all claims, damages, or expenses (including attorney fees) arising from:

    • Client’s breach of this Agreement

    • Client’s failure to obtain required clearances

    • Client’s negligent or intentional acts

    • Property conditions or actions of occupants, invitees, or guests

10. Limitation of Liability

  • Cove Media’s total liability for any claim shall not exceed the stated monetary value of the agreement for the services giving rise to the claim.

  • Cove Media shall not be liable for any indirect, consequential, or punitive damages, including lost sales, profits, or business opportunities.

11. Force Majeure

  • Cove Media is not liable for delays or failures caused by events beyond its reasonable control, including but not limited to weather, illness, acts of God, labor disputes, or equipment failure.

12. Governing Law and Venue

  • This Agreement is governed by the laws of the State of Maryland.

  • Any disputes shall be resolved in the courts of Montgomery County, Maryland.

13. Miscellaneous

  • Independent Contractor: Cove Media and its Service Providers are independent contractors. Nothing in this Agreement creates an employer-employee relationship.

  • Severability: If any provision of this Agreement is held invalid, the remaining provisions remain enforceable.

  • Entire Agreement: This Agreement constitutes the full understanding between the parties and supersedes all prior communications.
